Illinois LLC Annual Report and Yearly Requirements

Illinois asks one recurring filing of every LLC: the annual report, Form LLC-50.1, filed with the Secretary of State's Department of Business Services, Limited Liability Division under 805 ILCS 180/50-1. The fee is $75, the filing updates the company's public record, and the deadline has a wrinkle that catches people who assume it works like other states.

The Due Date Comes Before Your Anniversary Month

The report is due before the first day of the LLC's anniversary month each year, not at the end of it. A company organized on June 18 must have its report in before June 1, every year. The filing window opens 60 days ahead of that first day, so there is a comfortable runway if you know the rule. For an out-of-state LLC admitted to Illinois, the clock runs off the anniversary of admission rather than formation.

The Annual Report Fee: $75

Illinois charges $75 whether the report goes in online or on paper (805 ILCS 180/50-15). There is no discount for either channel and no franchise tax stacked on top for LLCs.

  1. Locate your state file number; the online system will not start without it.
  2. Determine your channel. The online filing system accepts LLCs with 8 or fewer members. A company with more than 8 members, one signing under power of attorney, or one filing as part of a reinstatement must mail the paper Form LLC-50.1 instead.
  3. Confirm the company information: the principal place of business (a street address, never a PO box, and it may sit in any state), the Illinois registered agent and registered office, and the managers (marked MGR) or managing members (marked MBR) with names and addresses.
  4. Pay the $75 fee and submit.

One thing the report cannot do: change your registered agent or registered office. Illinois routes that through its own filing, Form LLC-1.36/1.37, with its own $25 fee.

Late Filing: The Penalties Stack

Miss the due date and the consequences arrive in stages. On the 60th day past due, Illinois assesses a $100 late penalty on top of the $75 fee. Once the report is 180 days delinquent, administrative dissolution proceedings begin under 805 ILCS 180/35-25, and a dissolved LLC forfeits its good standing and the liability protection that motivated forming it. Reinstatement is possible but means paperwork, accumulated fees, and in some cases losing the right to file online at all, since reinstatement filings go on paper.

The annual report is a Secretary of State filing, not a tax return. Income tax obligations, including Illinois's replacement tax where an LLC is taxed as a partnership, run through the Illinois Department of Revenue on their own schedule, and federal filings run through the IRS.
