Illinois LLC Filing Fees: 2026 Breakdown
Illinois publishes a fixed fee for nearly every LLC filing, which makes budgeting refreshingly predictable: $150 to form, $75 a year to stay in good standing, $25 to change your registered agent. Formation and the Series option are governed by 805 ILCS 180/5-5; filings go to the Secretary of State's Department of Business Services, Limited Liability Division, online or on paper in duplicate.
The Fees That Only Show Up When Something Goes Wrong
- $100 late penalty on the annual report, beginning on the 60th day past the due date. The report itself is due before the first day of your anniversary month, so the penalty math starts from there. At 180 days delinquent, administrative dissolution proceedings begin under 805 ILCS 180/35-25. The annual requirements page lays out the timeline.
- $100 penalty if the LLC fails to appoint a new registered agent within 60 days of a vacancy.
Both are avoidable with a calendar entry and a working registered agent arrangement.
